1.1 Welcome to Buildgear Nigeria Limited, referred herein as "Buildgear", "we", "our" or "us".

1.2 These Terms and Conditions govern access to and use of Buildgear's website, online store, products, services and all transactions conducted through our platform.

1.3 By accessing our website, creating an account, placing an order, purchasing any product, or otherwise using our services, you acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions.

1.4 If you do not agree to these Terms and Conditions, you should discontinue use of our website and services immediately.

Buildgear Nigeria Limited is engaged in the supply and distribution of:

2. Professional tools and machinery
3. Electrical products and accessories
4. LED lighting solutions
5. Smart lighting systems
6. Solar street lighting products
7. Industrial hardware and building equipment
8. Safety equipment and related products

3.1 By using our website or placing an order, you represent and warrant that:

1. You are at least eighteen (18) years old
2. You possess the legal capacity to enter into binding contracts
3. All information provided by you is accurate, complete and current
4. You will comply with all applicable laws and regulations

4.1 Buildgear makes reasonable efforts to ensure that product descriptions, specifications, dimensions, images, pricing and other information displayed on the website are accurate and up to date.

4.2 While Buildgear makes every reasonable effort to ensure that product images, colours, dimensions, specifications, descriptions and other product information accurately represent the products offered for sale, product images are provided for illustrative purposes only. Minor variations in appearance, packaging, colour shade, branding, labelling, manufacturer updates or product improvements may occur without affecting the functionality, quality, performance or intended use of the product. Where any material variation exists, Buildgear shall make reasonable efforts to notify the customer before dispatch.

4.3 Product availability is subject to stock levels, supplier availability and operational considerations.

5.1 All prices displayed on the website are stated in Nigerian Naira (NGN/N) unless otherwise indicated.

5.2 Prices displayed on the website are subject to periodic review and adjustment due to market conditions, supplier pricing, exchange rate fluctuations, taxes, importation costs, transportation costs, regulatory requirements and other commercial factors. However, once an order has been confirmed by Buildgear and payment has been received, the agreed purchase price shall remain binding on both parties unless the order is cancelled or modified at the customer's request.

5.3 Buildgear reserves the right to correct pricing errors at any time. Where a pricing error materially affects an order, Buildgear may cancel the affected order and refund any payment received.

5.4 Prices exclude delivery charges unless expressly stated otherwise.

6.1 An order placed through the website constitutes an offer by the customer to purchase products from Buildgear.

6.2 An order shall be deemed accepted and binding only upon confirmation of payment and issuance of an Order Confirmation by Buildgear.

6.3 Where Buildgear is unable to fulfil an order due to stock unavailability, pricing errors, supplier constraints, regulatory restrictions, suspected fraud, force majeure circumstances or any other legitimate operational reason, the customer shall be notified promptly and any payment received shall be refunded in full.

6.4 Buildgear reserves the right to request additional information before accepting an order.

7.1 Buildgear accepts payment through approved payment methods available on its website from time to time.

7.2 Orders shall not be processed until payment has been successfully received and verified.

7.3 Buildgear reserves the right to verify payments and customer information before processing any order.

8.1 Delivery timelines are estimates only and may be affected by factors beyond Buildgear's reasonable control including traffic congestion, road conditions, weather events, flooding, security concerns, fuel shortages, logistics disruptions, transportation breakdowns, labour disputes, government restrictions, force majeure events and other unforeseen circumstances.

8.2 Risk and ownership in products shall pass to the customer upon successful delivery and acceptance of the products.

8.3 Customers are required to inspect all products immediately upon delivery and prior to installation, assembly, commissioning, use, resale or incorporation into any project. Any visible damage, shortage, incorrect specification, defect, discrepancy or issue reasonably discoverable upon inspection must be reported to Buildgear within 72 hours of delivery together with supporting photographs or other evidence where applicable.

8.4 Failure to conduct reasonable inspection prior to installation or use may affect the customer's entitlement to replacement, refund or other remedies.

9.4 Buildgear reserves the right to investigate and verify any claim relating to product defects, damage, shortages, incorrect specifications, missing items or other discrepancies and to determine, acting reasonably and in good faith, whether such condition existed at the time of delivery or arose thereafter as a result of handling, transportation by third parties, storage conditions, installation, misuse, alteration, negligence or any intervening cause.

10.1 Approved refunds shall be processed using the original payment method where reasonably practicable.

10.2 Refund processing timelines may vary depending on financial institutions, payment processors and banking systems.

10.3 Delivery fees shall generally be non-refundable except where the issue arose directly from Buildgear's error.

11.1 Certain products may be covered by manufacturer warranties.

11.2 Warranty coverage, duration and conditions vary by manufacturer.

11.3 Buildgear may assist customers in facilitating warranty claims but shall not assume warranty obligations beyond those provided by the manufacturer.

12.1 Electrical products should be installed only by appropriately qualified personnel.

12.2 Improper installation may void applicable warranties.

12.3 Buildgear shall not be liable for loss, damage or injury arising from improper installation, misuse or operation of electrical products.

Users shall not:

1. Use the website for unlawful purposes
2. Attempt unauthorised access to systems
3. Upload malicious software
4. Interfere with website functionality
5. Scrape website content without prior written consent

14.1 Customers who submit reviews, testimonials, comments, photographs or other content grant Buildgear a non-exclusive, royalty-free licence to use such content for lawful business and marketing purposes.

Personal information collected through the website shall be processed in accordance with Buildgear's Privacy Policy and applicable data protection laws.

19.1 Any claim relating to delivery discrepancies, shortages, defects, incorrect products, refunds, replacements or any other matter arising from a purchase transaction shall be submitted to Buildgear within 72 hours from the date of delivery.

19.2 Failure to notify Buildgear within the period stated above may result in the claim being rejected, except where prohibited by applicable law.

21.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

21.2 Any dispute arising from or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

If any provision of these Terms and Conditions is determined by a court of competent jurisdiction or other competent authority to be unlawful, invalid or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.
